1. Application of Terms

These Business Terms & Conditions ("Terms") apply to all contracts for the supply of goods by Premier Building Materials Ltd ("Supplier") to business customers ("Buyer"). These Terms prevail over any terms submitted by the Buyer unless agreed in writing by a director of Premier Building Materials Ltd.

2. Orders & Acceptance

All orders are subject to acceptance by the Supplier. An order is accepted when we issue a written order confirmation. We reserve the right to decline any order. Orders cannot be cancelled or amended after acceptance without our written consent, and may be subject to a cancellation charge.

3. Prices & Payment

Prices are exclusive of VAT unless stated otherwise. VAT will be charged at the rate applicable on the date of invoice. Payment is due within 30 days of the invoice date for approved credit account holders. For non-credit customers, payment is due in full at the time of order. We reserve the right to charge interest on overdue amounts at 8% per annum above the Bank of England base rate, pursuant to the Late Payment of Commercial Debts (Interest) Act 1998.

4. Delivery & Risk

Delivery dates are estimates only. Time of delivery is not of the essence. Risk in the goods passes to the Buyer on delivery. Title passes to the Buyer only on receipt of full payment. The Buyer must inspect goods on delivery and notify us of any damage or shortage within 48 hours.

5. Returns & Warranty

We will accept returns of goods in their original, undamaged condition within 30 days of delivery, subject to prior authorisation. A restocking charge of up to 15% may apply. We provide no warranty beyond that given by the original manufacturer. Our liability for defective goods is limited to replacement or credit note at our discretion.

6. Limitation of Liability

Our total liability to the Buyer under any contract shall not exceed the price paid for the goods in question. We shall not be liable for indirect, special, or consequential loss including loss of profit, loss of contracts, or business interruption, howsoever caused. Nothing in these Terms limits liability for death, personal injury, or fraud.

7. Force Majeure

We shall not be liable for any failure or delay in performance caused by circumstances beyond our reasonable control including fire, flood, strike, pandemic, supply chain disruption, or government action.

8. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes arising shall be subject to the exclusive jurisdiction of the courts of England and Wales. The Buyer irrevocably submits to the jurisdiction of the English courts.
